1. Terms & Conditions

1.1 Acceptance of Terms

\n By accessing or using Themed Masters (the “Platform”), including subscription directories, search functions, collaboration badges, and\n related services, you (“Member,” “User,” or “You”) agree to be bound by these Terms & Conditions\n (“Terms”), as well as our Privacy Policy and any additional guidelines posted on the Platform. If you do not agree, you must discontinue use\n immediately.\n

1.2 Eligibility

\n Subscriptions are open to qualified and experienced professionals, companies, vendors, freelancers, and accomplished students in the themed\n entertainment industry.\n
\n You represent that all information provided during registration is accurate, current, and complete.\n
\n Themed Masters reserves the right to approve, deny, suspend, or revoke a subscription at its discretion for any reason at any time.\n
\n You must be at least 18 years of age and engaged in or affiliated with the themed entertainment industry to create a profile. Themed Masters reserves\n the right to review, approve, or reject any profile or subscription at its sole discretion at any time.\n

1.3 Subscription Plans & Payments

Subscription requires payment of applicable fees as published on the Platform.
\n Subscription plans, pricing, and included features are described on our website and may vary by user type (freelancer, studio, vendor, etc.).\n
\n Payment is due in full at the time of purchase. All payments are processed securely via our third-party payment provider.\n
Subscriptions are valid for the duration specified in the purchase descriptions.
Fees are non-refundable except where mandated by law.
\n “Founder” badges, discounts, or promotional pricing may be offered; such benefits are subject to change without notice.\n
\n Members must maintain active subscriptions to access premium features (e.g., gig boards, RFP tools, analytics dashboards etc.).\n

1.4 Use of Platform

You agree not to:

\n Misrepresent their identity, services, qualifications or provide any type of inaccurate information.\n
\n Post, upload, or share content that is unlawful, defamatory, obscene, infringing, misleading,
or otherwise harmful.\n
\n Upload any content (written or visual) onto the Platform that is confidential or covered and protected by any NDA’s (Non-Disclosure\n Agreements), including under any business contracts or any employee/employer company requirements. Users are fully responsible for obtaining\n permission to display any protected content, releasing Themed Masters from any and all liability.\n
\n Post and/or discuss any confidential information on the Platform regarding any current, ongoing or upcoming disclosed or undisclosed projects,\n designs or other works with other users on the Platform, without having the proper authority to do so, or obtaining prior permission, releasing Themed Masters from any and all liability.
\n
Use the Platform for spamming, data harvesting, or unauthorized commercial solicitation.
Circumvent subscription access restrictions or misuse collaboration badges.

Violation of these provisions may result in immediate termination of any subscriptions without a refund.

1.5 Intellectual Property

\n All content on the Platform—including logos, trademarks, badges, directories, designs, and software—are owned by or licensed to Themed\n Masters or to its respective partners or organizations, and is protected by copyright, trademark, and other intellectual property laws.\n
\n Members retain ownership of any content they upload but grant Themed Masters a worldwide, royalty-free, non-exclusive license to display, reproduce,\n and promote such content solely in connection with the Platform.\n
\n Unauthorized use of the Platform’s intellectual property is strictly prohibited. Contact Themed Masters to request the use of any logos or\n Platform content.\n

1.6 Third-Party Links & Services

\n The Platform may contain links to third-party sites (industry organizations, personal portfolios or vendor websites). Themed Masters is not responsible\n for their content, privacy practices, or availability.\n

1.7 Disclaimers & Limitation of Liability

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.
\n Themed Masters does not warrant uninterrupted or error-free operation, nor the accuracy of member listings or collaboration claims.\n
\n To the maximum extent permitted by law, Themed Masters disclaims liability for any damages (direct, indirect, incidental, consequential, or punitive)\n arising from use of the Platform.\n

1.8 Indemnification

\n You agree to indemnify and hold harmless Themed Masters, its officers, affiliates, employees, and partners from any claims, damages, or expenses\n arising from your use of the Platform, your content, or violation of these Terms.\n

1.9 Governing Law & Jurisdiction

\n These Terms shall be governed by and construed under the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any disputes\n shall be brought exclusively in the state or federal courts of Seminole County, Florida.\n

1.10 Amendments & Modifications

\n Themed Masters reserves the right to modify or revise these Terms at any time. Continued use of the Platform constitutes acceptance of updated\n Terms.\n

2. Privacy Policy

2.1 Data Collection

We collect personal and professional information provided during registration and use of the Platform, including:

Contact details (name, email, company, role).
Payment information (processed securely by third-party providers, not stored by us).
Usage data (search queries, badges earned, collaborations).

2.2 Data Usage

We use data to:

Facilitate member directories and professional connections.
Process subscriptions and payments.
Provide analytics dashboards, badges, and other subscription features.
Improve and secure the Platform.
Send service announcements, updates, and promotional communications (with opt-out option).

2.3 Data Sharing

We do not sell personal data to third parties.
Data may be shared with trusted service providers (e.g., payment processors, hosting providers).
We may disclose information when required by law or to enforce Platform policies.

2.4 Cookies & Tracking

3.1 Subscription Representation

\n Themed Masters does not certify, endorse, or guarantee the quality of work of any member, vendor, or freelancer. Collaboration badges and search\n rankings are informational only and should not be construed as accreditation.\n

3.2 Event & Expo Participation

\n By participating in industry networking evens or expos (including IAAPA, TEA, or other events events) Themed Masters’ sponsorships or\n partnerships are subject to each organizer’s rules and disclaimers. Themed Masters is not responsible for event cancellations, ticketing refunds,\n modifications, or disputes.\n

3.3 No Professional Advice\n

\n Information on the Platform is for general informational purposes only and does not constitute legal, financial, or professional advice.\n

3.4 Force Majeure

\n Themed Masters shall not be liable for any delay or failure due to causes beyond its reasonable control, including natural disasters, cyberattacks,\n strikes, pandemics, or governmental restrictions.\n

1. Florida Deceptive and Unfair Trade Practices Act (FDUTPA)

\n Themed Masters complies with the Florida Deceptive and Unfair Trade Practices Act (F.S. § 501.201 et seq.). Members are solely responsible for the\n accuracy of their representations, advertisements, and services. Themed Masters disclaims liability for member misrepresentations and reserves the right\n to suspend or terminate accounts found to violate consumer protection laws.\n

\n Transparency: All fees and terms for subscriptions are clearly disclosed prior to purchase.\n
\n Eligibility: Subscribers must demonstrate relevance & experience within the themed entertainment industry. This may include company webpages, project\n experience, portfolio materials, or other business documentation.\n
\n Use of Information: Subscriber profiles and related information are used solely for directory and Platform purposes in accordance with our Privacy Policy.\n
\n No Guarantees: Subscriptions provide Platform access and exposure but do not guarantee sales, leads, page views or project engagements.\n

\n Refunds and Cancellations: Subscriptions are non-refundable except as required by law or under our cancellation terms.

\n

2. Florida Data Privacy & Breach Notification

\n In compliance with the Florida Information Protection Act (FIPA), Themed Masters will notify affected users of any data breach involving personal\n information within thirty (30) days of discovery, unless delayed by law enforcement or permitted exceptions.\n

\n 3. Electronic Signatures & Contracts (Florida UETA)

By clicking ‘Accept’ or by using the Platform, you consent to transact electronically and agree that your electronic acceptance constitutes\n a valid signature under Florida’s Uniform Electronic Transactions Act (F.S. § 668.50).\n

\n 4. Venue & Jurisdiction

Any disputes shall first be submitted to mediation in Seminole County, Florida, before resorting to arbitration or litigation. To the fullest extent\n permitted by law, the parties waive the right to a jury trial.\n

\n 5. Florida Taxation / Sales Tax

Where required by law, Themed Masters will collect and remit sales tax on subscriptions.\n

\n 6. Children’s Online Privacy

The Platform is intended for users 18 years of age or older. By registering, you affirm that you are at least 18 years old. Themed Masters does not\n knowingly collect information from minors.\n

7. Limitation of Liability & Punitive Damages

Florida courts scrutinize liability waivers.
\n Clarify no liability for punitive damages, lost profits, or indirect damages unless required by law.\n
Explicitly carve out liability exceptions (e.g., willful misconduct, gross negligence).

4. Organizational Affiliations - Logos and Trademark Usage\n

\n 4.1 User Responsibility for Organizational Trademarks and Logos

By selecting, uploading, displaying, or otherwise using any logos, trademarks, or service marks (“Logos”) on your Themed Masters profile or\n in connection with your use of the Platform, you represent and warrant that:\n

\n You are duly authorized by the owner of the Logo (such as IAAPA, TEA, VES, AVIXA, etc., or any other optional affiliated associations or\n organizations) to use it in this manner.\n
\n Your use of the Logo complies with all applicable branding guidelines, licensing terms, and membership requirements of the Logo’s owner;\n and\n
\n Your use does not misrepresent, imply, or suggest any endorsement, sponsorship, or partnership between the Logo owner and Themed Masters unless such\n relationship has been expressly disclosed by Themed Masters.\n

4.2 Platform Disclaimer

Themed Masters is not affiliated with, endorsed by, or sponsored by any third-party associations or companies whose Logos may appear on user profiles,\n unless expressly stated by Themed master’s in writing. Any Logos displayed are the sole responsibility of the user who has opted to use, selected\n or uploaded them to their individual profiles.\n

\n 4.3 Indemnification

You agree to indemnify, defend, and hold harmless Themed Masters, its officers, directors, employees, and agents from and against any claims, damages,\n liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your unauthorized or improper use of any\n Logo(s) or trademark(s) selected or utilized.\n

4.4 Right to Remove Logos

Themed Masters reserves the right, in its sole discretion and without prior notice, to remove any Logo or content that it believes:\n

Violates these Terms
Infringes the intellectual property rights of any third party; or
Creates a misleading impression of endorsement, partnership, or affiliation.

4.5 Best Practices for Users

Platform users are encouraged to:\n

\n Use only official “member” or “affiliate” versions of association Logos, where available.\n
Review the official brand guidelines of any association or company before displaying its Logo.
\n Use text-based references (e.g., “Member of IAAPA”) if unsure whether Logo usage is permitted.\n
\n Users should only display an association’s official “Member” logo if they are a member in good standing with that association and\n their use complies with that organization/association’s bylaws, logo usage policies, and brand guidelines. Use of general association logos\n without the “Member” designation is prohibited unless Themed Masters has secured express written authorization from the association.\n
